Terms of Service

Effective: September 29, 2025

By creating an account, using our tag management API, mapping tag UUIDs, publishing pages with our site builder, or otherwise using our service, you agree to these Terms.

1. Quick summary (TL;DR)

  • You (the “Customer”) create pages and map physical NFC tag UUIDs, QR codes, or shortlinks to URLs we host or redirect to external URLs.

  • People who tap/scan tags are “End Users.”

  • Customers are responsible for their content, for legal compliance where they place tags, and for getting any consents (e.g., permission to place tags or to collect personal data on their pages).

  • We may suspend or terminate accounts, take down pages, or disable tag mappings that break our Content Policy or these Terms.

  • We collect analytics for platform operation and for customers (see our Privacy Policy). We do not collect persistent device identifiers by default.

2. Definitions

  • Service: The SaaS platform, site builder, tag-management dashboard, APIs, shortlinks, hosting, analytics, and related services provided by TagXD.

  • Customer: An individual or business that signs up for an account and uses the Service to create pages or manage tags.

  • End User: A person who taps a physical NFC tag or scans a QR code, or visits a webpage or url redirect managed or hosted via our Service.

  • Tag Mapping: The association between a tag’s UUID or shortlink and a destination URL or hosted page.

  • Content Policy & Privacy Policy: Our separate policies that govern allowed content and privacy practices. You agree to follow them.

3. Who is responsible for what

  • Customers are responsible for:

    • All content they publish or map to tags (text, images, links, forms).

    • Getting permission to place tags where they go (private property, or personal assets).

    • Ensuring pages comply with applicable laws and the Content Policy (no phishing, malware, stalking, etc.).

    • Collecting any consents required from End Users for personal data collected on their pages.

    • Keeping backups of any content they want to retain (we may offer export tools, but customers should keep their own copies).

    • Indemnifying TagXD for claims resulting from their content or tag placements (see Section 12).

  • TagXD provides:

    • Hosting for pages, tag mapping, analytics, security tooling, and support.

    • Tools to disable tag mappings, disable accounts, and respond to abuse reports.

    • Reasonable efforts to keep the Service available and secure (see Section 9 for limits).

4. Account creation, billing, and payment

  • You must provide accurate account details and keep them up to date.

  • Paid plans: fees, billing cycles, and trial terms are described on our pricing page and in your order. All fees are non-refundable except where we explicitly say otherwise.

  • We use third-party payment processors and do not store full card numbers. You authorize us to charge your payment method for fees, taxes, and any applicable late fees.

  • If payment fails, we may suspend your account and disable tag mappings after reasonable notice. We may also seek collection for outstanding fees.

  • Taxes: you’re responsible for any taxes required by your jurisdiction; we may collect sales taxes where required.

5. Fees, Billing, and Refunds

Free Trial. New customers are eligible for a 7-day free trial. After the trial ends, you must upgrade to continue using TagXD.

Subscription Fees. TagXD offers two billing options:

  • Monthly Plan: billed at the beginning of each billing cycle.

  • Annual Plan: billed upfront.

Cancellation. You may cancel your subscription at any time directly from your account settings. Cancellation stops future billing but does not retroactively refund past charges unless covered under the refund policy below.

Refunds.

  • Monthly Plan: Payments for the current billing cycle are non-refundable, but your subscription will remain active until the end of the paid period.

  • Annual Plan: If you cancel an annual plan early, you will be refunded a prorated amount based on the unused portion of your subscription. The prorated refund will be calculated at the equivalent monthly rate of $29/month, with any months already used deducted from your refund amount. This ensures that the annual discount only applies if you complete the full term.

Example: If you cancel an annual subscription after 4 months, we will deduct 4 × $29 = $116 from the $199 annual payment. You would receive a refund of $83.

Happy Guarantee. While we aim to make cancellation easy and stress-free, refunds are applied automatically according to the rules above—no questions asked, no penalty.

6. Content rules, takedowns, and enforcement

  • You must follow our Content Policy. We consider the Content Policy a core part of these Terms.

  • If your content or tag mapping violates the Content Policy or these Terms, we may:

    • Disable the specific tag mapping(s), remove a page, block a shortlink, temporarily suspend your account, or terminate your account entirely depending on severity.

    • Preserve logs and cooperate with law enforcement when required.

    • Provide you notice of the action and the reason where feasible, unless doing so would impede an investigation or harm others.

  • For urgent threats (active phishing, malware, stalking, child sexual exploitation), we will take immediate action without prior notice.

7. Tag-specific responsibilities & limits

  • You confirm you have the right to place and service any tags you manage. Do not place tags on private property, vehicles, or items you do not own or have permission to tag.

  • You may not use our Service to operate covert tracking, stalking, or any solution intended to collect someone’s location or movements without their explicit and informed consent.

  • You may not clone tags or impersonate official tags, or mass-distribute tags that impersonate a brand or individual with intent to mislead.

  • We may block or blacklist specific UUIDs, shortlinks, or tag patterns if they’re associated with abuse or repeated violations.

8. Use limits, API & automation

  • We may set rate limits, quotas, and fair-use limits to protect the Service and other customers. If you exceed limits, we may throttle or block requests. These are reserved for extreme circumstances that the vast majority of customers will not exceed.

  • If you integrate third-party services or embed third-party scripts on hosted pages, you’re responsible for those scripts and compliance with third-party terms. We may disable embedded scripts or block domains that are malicious.

9. Privacy & analytics

  • Our Privacy Policy explains what data we collect and how we use it. By using the Service you acknowledge that we collect analytics for taps/scans (we do not collect persistent device IDs by default) and that customers may collect data on their pages. Customers are the controller of data collected on their pages and must comply with applicable privacy laws.

  • We may provide customers with tools to export their tag and analytics data. When you or your customer asks for deletion, we will follow our retention and deletion processes described in the Privacy Policy.

10. Availability, support, and SLA

  • We operate the Service on a best-effort basis. We do not guarantee uninterrupted access unless you have a written SLA that says otherwise. For paid plans we may offer uptime targets in a separate SLA.

  • We provide support according to the plan you purchased.

11. Intellectual property

  • Your content: Customers retain ownership of the content they upload or create. By publishing content through our Service, you grant TagXD a non-exclusive, worldwide, royalty-free license to host, display, and deliver that content to End Users as necessary to provide the Service.

  • Our service & IP: We own the Service, software, trademarks, and all related intellectual property. You get a limited, non-transferable right to use the Service according to these Terms.

  • DMCA / takedown: If you believe content hosted on our Service infringes your copyright, follow our copyright policy and send a notice to us with the required elements (identify the copyrighted work, location of infringing content, sworn statement, contact info). We will respond per applicable law.

12. Security incidents & law enforcement

  • If we detect abuse, a security incident, or receive a lawful request, we may preserve relevant logs, disable access, and provide information to law enforcement as required. We’ll notify affected customers where allowed by law and where it won’t impede an investigation.

13. Warranties, disclaimers, and limitation of liability

  • No warranty: The Service is provided “as is” and “as available.” Except where required by law, we disclaim all warranties (express or implied), including fitness for a particular purpose and non-infringement.

  • Limitation of liability: To the fullest extent permitted by law, TagXD’s total aggregate liability for claims arising out of or related to the Service or these Terms will not exceed the total fees paid by the Customer to TagXD in the 12 months prior to the claim (or $100 if no fees were paid). We are not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost data, or lost business opportunity.

  • This section does not attempt to limit liability for death or personal injury or other liabilities that cannot be limited by applicable law.

14. Indemnification

  • You agree to defend, indemnify, and hold harmless TagXD and its officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

    • Your content or use of the Service,

    • Your violation of these Terms or the Content Policy,

    • Your violation of any law or third-party rights (including privacy rights), or

    • Your placement of tags without proper permission.

15. Suspension, termination & account deletion

  • We may suspend or terminate your account for violations of these Terms, the Content Policy, non-payment, or harmful behaviour. For serious violations (fraud, child exploitation, active malware, stalking), we may terminate immediately without notice.

  • Upon termination we may: disable tag mappings, take down pages, and delete data consistent with our data retention policy. We will try to give notice and an opportunity to export data in non-emergency cases. You remain responsible for any unpaid fees through termination.

16. Changes to the Service or Terms

  • We may modify the Service (add/remove features) or change these Terms. For material changes to these Terms we’ll provide notice (email or dashboard) and a reasonable opportunity to review. Continuing to use the Service after the changes means you accept them.

17. Dispute resolution & governing law

  • These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Any dispute will be resolved in the courts of Ontario unless we both agree otherwise.

18. Notices and contact

You can contact us using the contact page. 

Notices we send to you will go to the email address on file. Notices we send in emergencies may be posted on the dashboard.

19. Miscellaneous

  • Severability: If part of these Terms is invalid, the rest remains in effect.

  • Assignment: You may not assign these Terms without our written consent. We may assign the agreement in connection with a sale or corporate reorganization.

  • Entire agreement: These Terms, any order forms, and the Content Policy and Privacy Policy are the entire agreement between you and TagXD about the Service.

20. Acceptance

By using the Service you confirm that you’ve read, understood, and agree to these Terms, the Content Policy, and the Privacy Policy.
